Brokers and Advisers. Except as set forth on Schedule 6.43 hereof, (a) there are no claims for brokerage commissions, finder's fees, or similar compensation arising out of or due to any act of the Company or the Bank in connection with the transactions contemplated by this Agreement or based upon any agreement or arrangement made by or on behalf of the Company or the Bank, and (b) neither the Company nor the Bank has entered into any agreement or understanding with any party relating to financial advisory services provided or to be provided with respect to the transactions contemplated by this Agreement.
Brokers and Advisers. (a) There are no claims for brokerage commissions, finder's fees, or similar compensation arising out of or due to any act of Zions Bancorp, Val Cor, or Valley in connection with the transactions contemplated by this Agreement or based upon any agreement or arrangement made by or on behalf of any of them.
(b) None of Zions Bancorp, Val Cor, nor Valley has entered into any agreement or understanding with any party relating to financial advisory services provided or to be provided with respect to the transactions contemplated by this Agreement.
Brokers and Advisers. Other than with respect to MB&D, (a) there are no claims for brokerage commissions, finder's fees, or similar compensation arising out of or due to any act of NBTB in connection with the transactions contemplated by this Agreement or based upon any agreement or arrangement made by or on behalf of NBTB, and (b) NBTB has not entered into any agreement or understanding with any party relating to financial advisory services provided or to be 42 provided with respect to the transactions contemplated by this Agreement.
Brokers and Advisers. (a) All negotiations pertaining to the sale of the Shares and the agreements relating to such sale have been carried on in such a manner that no broker or other person acting on behalf of the Seller or the Seller's Group shall have a valid claim against any of the Companies or against Purchaser and its shareholders for any broker's fee or finder's fee or similar compensation.
(b) Without limiting the representations and warranties in paragraph 4.24(a) above, the Seller has paid all costs incurred with respect to the transaction contemplated by the Agreement for lawyers, investment bankers and accountants.

Other than with respect to XxXxxxxxx, Xxxx & Xxxxxx, Inc., (a) there are no claims for brokerage commissions, finder's fees, or similar compensation arising out of or due to any act of NBTB in connection with the transactions contemplated by this Agreement or based upon any agreement or arrangement made by or on behalf of NBTB, and (b) NBTB has not entered into any agreement or understanding with any party relating to financial advisory services provided or to be provided with respect to the transactions contemplated by this Agreement.
Brokers and Advisers. (a) There are no claims for brokerage commissions, finder's fees, or similar compensation arising out of or due to any act of Zions Bancorp or NS Bank in connection with the transactions contemplated by this Agreement or based upon any agreement or arrangement made by or on behalf of either of them.
(b) Neither Zions Bancorp nor NS Bank has entered into any agreement or understanding with any party relating to financial advisory services provided or to be provided with respect to the transactions contemplated by this Agreement.
Brokers and Advisers. Except as set forth on Schedule 7.40 hereto, (a) there are no claims for brokerage commissions, finder's fees, or similar compensation arising out of or due to any act of CNB or CNB Bank in connection with the transactions contemplated by this Agreement or based upon any agreement or arrangement made by or on behalf of CNB or CNB Bank and (b) neither CNB nor CNB Bank has entered into any agreement or understanding with any party relating to financial advisory services provided or to be provided with respect to the transactions contemplated by this Agreement.
Brokers and Advisers. Brokers and Advisers. (a) There are no claims for brokerage commissions, finder's fees, or similar compensation arising out of or due to any act of its in connection with the transactions contemplated by this Agreement or based upon any agreement or arrangement made by or on behalf of it.
(b) It has not entered into any agreement or understanding with any party relating to financial advisory services provided or to be provided with respect to the transactions contemplated by this Agreement.
Brokers and Advisers. Except for Geraxx Xxxxxx Xxxxxxxx & Xo., Inc., no broker, agent or finder has rendered financial services to CTI in connection with the transactions contemplated by this Agreement.
