Common use of Brokers and Advisers Clause in Contracts

Brokers and Advisers. Except as set forth on Schedule 6.43 hereof, (a) there are no claims for brokerage commissions, finder's fees, or similar compensation arising out of or due to any act of the Company or the Bank in connection with the transactions contemplated by this Agreement or based upon any agreement or arrangement made by or on behalf of the Company or the Bank, and (b) neither the Company nor the Bank has entered into any agreement or understanding with any party relating to financial advisory services provided or to be provided with respect to the transactions contemplated by this Agreement.

Brokers and Advisers. Except as set forth on Schedule 6.43 6.44 hereof, (a) there are no claims for brokerage commissions, finder's fees, or similar compensation arising out of or due to any act of the Company or any of the Bank Subsidiaries in connection with the transactions contemplated by this Agreement or based upon any agreement or arrangement made by or on behalf of the Company or any of the BankSubsidiaries, and (b) neither the Company nor any of the Bank Subsidiaries has entered into any agreement or understanding with any party relating to financial advisory services provided or to be provided with respect to the transactions contemplated by this Agreement.
