Common use of Brokers and Agents Clause in Contracts

Brokers and Agents. Except as disclosed in the Private Placement Memorandum or in Section 11.03 of the Disclosure Statement, the Stockholders jointly and severally represent and warrant to Apple that the Company has not directly or indirectly employed or become obligated to pay any broker or similar agent in connection with the transactions contemplated hereby, and agree, without regard to the Threshold Amount limitations set forth in Article IX, to indemnify Apple against all Damage Claims arising out of claims for any and all fees and commissions of brokers or similar agents employed or promised payment by the Company.
