Common use of Brokers and Other Advisors Clause in Contracts

Brokers and Other Advisors. Except for ▇▇▇▇▇▇ ▇▇▇▇▇▇▇ and Centerview Partners LLC, the fees and expenses of which will be paid by the Company, no broker, investment banker, financial advisor or other Person is entitled to any broker’s, finder’s, financial advisor’s or other similar fee or commission, or the reimbursement of expenses in connection therewith, in connection with the Transactions based upon arrangements made by or on behalf of the Company or any of its Subsidiaries.

Brokers and Other Advisors. Except for ▇▇▇▇▇▇ ▇▇▇C▇▇▇▇ and Centerview Partners Company, LLC, the fees and expenses of which will be paid by the Company, no broker, investment banker, financial advisor advisor, agent or other Person is entitled to any broker’s, finder’s, financial advisor’s, agent’s or other similar fee or commission, or the reimbursement of expenses in connection therewithexpenses, in connection with the Transactions based upon arrangements made by or on behalf of the Company or any of its Subsidiaries.

The Company has furnished to Parent or its Representatives true and complete copies of all agreements between the Company and Centerview relating to the Merger or the consummation of the Transactions.
