Common use of Brokers and Other Advisors Clause in Contracts

Brokers and Other Advisors. No broker, investment banker, financial advisor or other person (other than ▇.▇. ▇▇▇▇▇▇ Securities Inc. and ▇▇▇▇▇▇ ▇▇▇▇▇▇▇ & Co. Incorporated), the fees and expenses of which will be paid by the Company, is entitled to any broker’s, finder’s, financial advisor’s or other similar fee or commission in connection with the transactions contemplated by this Agreement based upon arrangements made by or on behalf of the Company. The Company has delivered to Parent complete and accurate copies of all Contracts under which any such fees or expenses are payable and all indemnification and other Contracts related to the engagement of the persons to whom such fees are payable.

Brokers and Other Advisors. No broker, investment banker, financial advisor or other person Person (other than ▇.▇. ▇▇▇▇▇▇ Securities Inc. and ▇▇▇▇▇▇ ▇▇▇▇▇▇▇ & Co. Incorporated)Securities, Inc. for its opinion referenced in Section 4.01(i) below, the fees and expenses of which will be paid by the Company), is entitled to any broker’s, finder’s, ’s or financial advisor’s fees or other similar fee or commission commissions in connection with the transactions contemplated by this Agreement based upon arrangements made by or on behalf of the Company. The Company has delivered to Parent true, complete and accurate copies of all Contracts written agreements entered into on or prior to the date of this Agreement under which any such fees or expenses are payable and all indemnification and other Contracts contribution related to the engagement of the persons Persons to whom such fees are payable.

The Company has delivered made available to Parent complete and accurate copies of all Contracts under which any such fees or expenses are payable and all indemnification and other Contracts agreements related to the engagement of the persons to whom such fees are payable.

The Prior to the date hereof, the Company has delivered provided to Parent correct and complete and accurate copies of all Contracts agreements under which any such fees or expenses and commissions are payable to the Company Financial Advisor and all indemnification and other Contracts agreements related to the engagement of the persons to whom such fees are payableCompany Financial Advisor.

The Company has delivered to Parent true and complete and accurate copies of all Contracts under which any such fees or expenses are payable and all indemnification and other Contracts related to the engagement of the persons to whom such fees or expenses are payable.
