Common use of Brokers, Finders and Investment Bankers Clause in Contracts

Brokers, Finders and Investment Bankers. Except as set forth on Schedule 5.3, no Seller has employed any broker, finder or investment banker or incurred any Liability for any investment banking fees, financial advisory fees, brokerage fees or finders’ fees in connection with the transactions contemplated by this Agreement.

Brokers, Finders and Investment Bankers. Except as set forth on Schedule 5.33.28, no Seller none of the Shareholders, the Companies or any of their respective officers, directors, employees or Affiliates has employed any broker, finder or investment banker or incurred any Liability liability for any investment banking fees, financial advisory fees, brokerage fees or finders’ ' fees in connection with the transactions contemplated by this AgreementTransaction.

Brokers, Finders and Investment Bankers. Except as set forth on Schedule 5.33.24, no none of Sellers, Seller has Parent or any of their respective Affiliates or Representatives have employed any broker, finder finder, investment banker, or investment banker other intermediary or incurred any Liability for any investment banking fees, financial advisory fees, brokerage fees fees, finders' fees, or finders’ other similar fees in connection with the transactions contemplated by this Agreement.

Except as set forth on Schedule 5.33.22, no neither Seller nor any of its officers, directors or employees, has employed any broker, finder or investment banker or incurred any Liability liability for any investment banking fees, financial advisory fees, brokerage fees or finders’ ' fees in connection with the transactions contemplated by this Agreementherein.

Except as set forth on in Schedule 5.33.28, no Seller neither the Company nor any Representative or Affiliate of the Company has employed any broker, finder or investment banker or incurred any Liability liability for any investment banking fees, financial advisory fees, brokerage fees or finders’ fees in connection with the transactions contemplated by this Agreementhereby.

Except as set forth on in Schedule 5.34.7 of the Seller Disclosure Schedule, no neither the Seller nor any of its Subsidiaries has employed any broker, finder or investment banker or incurred any Liability liability for any investment banking fees, financial advisory fees, brokerage fees or finders’ fees in connection with the transactions contemplated by this Agreementhereby.

Except as set forth on Schedule 5.34.27, no Seller neither Seller, nor any Affiliate of Seller, has employed any broker, finder or investment banker or incurred any Liability liability for any investment banking fees, financial advisory fees, brokerage fees or finders’ fees in connection with the transactions contemplated by this Agreementhereby.

Except as set forth on Schedule 5.34.26, no Seller none of the Company or its Subsidiaries has employed any broker, finder or investment banker or incurred any Liability liability for any investment banking fees, financial advisory fees, brokerage fees or finders’ fees in connection with the transactions contemplated by this Agreement.

Except as set forth on in Schedule 5.36.6, no Seller neither Purchaser, nor any of its respective officers, directors or employees has employed any broker, finder or investment banker or incurred any Liability liability for any investment banking fees, financial advisory fees, brokerage fees or finders’ fees in connection with the transactions contemplated by this Agreementhereby.

Except as set forth on Schedule 5.34.20, no Seller none of the Sellers nor any officer, member, manager or employee of the Sellers or any Affiliate of the Sellers has employed any broker, finder or investment banker or incurred any Liability for any investment banking fees, financial advisory fees, brokerage fees or finders’ fees in connection with the transactions contemplated by this Agreement.
