Common use of Brokers, Finders, etc Clause in Contracts

Brokers, Finders, etc. All negotiations relating to this Agreement, the Collateral Agreements, and the transactions contemplated thereby, have been carried on without the participation of any Person acting on behalf of Transferor or its Affiliates in such manner as to give rise to any valid claim against the Company or any of its subsidiaries for any brokerage or finder's commission, fee or similar compensation, or for any bonus payable to any officer, director, employee, agent or sales representative of or consultant to Transferor or its Affiliates upon consummation of the transactions contemplated hereby or thereby.

Brokers, Finders, etc. All negotiations relating to this Agreement, the Collateral Agreements, and the transactions contemplated therebyhereby, have been carried on without the participation of any Person acting on behalf of Transferor Seller or its Affiliates in such manner as to give rise to any valid claim against the Company Buyer or any of its subsidiaries Affiliates for any brokerage or finder's commission, fee or similar compensation, or for any bonus payable to any officer, director, employee, agent or sales representative of or consultant to Transferor Seller or its Affiliates or any other Person upon consummation of the transactions contemplated hereby or therebyhereby.
