Common use of Brokers, Finders Clause in Contracts

Brokers, Finders. Except as set forth on Schedule 2.24, no finder, broker, agent, or other intermediary, acting on behalf of the Company, is entitled to a commission, fee, or other compensation or obligation in connection with the negotiation or consummation of this Agreement or any of the transactions contemplated hereby.

Brokers, Finders. Except as set forth on Schedule 2.24might be provided in the Disclosure Schedule, no finder, broker, agent, or other intermediary, acting on behalf of Sellers or the Company, is entitled to a commission, fee, or other compensation or obligation in connection with the negotiation or consummation of this Agreement or any of the transactions contemplated hereby.

Except as set forth on Schedule 2.244.3, no finder, broker, agent, or other intermediary, intermediary acting on behalf of the Company, Buyer is entitled to a commission, fee, or other compensation or obligation in connection with the negotiation or consummation of this Agreement or any of the transactions contemplated hereby.

Brokers, Finders. Except as set forth on Schedule 2.245.2, no finder, broker, agent, or other intermediary, acting on behalf of the CompanyBuyer, is entitled to a commission, fee, or other compensation or obligation in connection with the negotiation or consummation of this Agreement or any of the transactions contemplated hereby. Buyer will pay all commissions, fees and other compensation due to the persons described on Schedule 5.2.

Brokers, Finders. Except as set forth on Schedule 2.24in Section 5.9 of the Seller Disclosure Schedule, no finderagent, broker, agentinvestment banker, or other intermediary, person acting on behalf of the CompanySeller, or under its authority is or will be entitled to a commission, any broker’s or finder’s fee or any other commission or similar fee, directly or other compensation or obligation indirectly, in connection with the negotiation or consummation of this Agreement or any of the transactions contemplated herebyby this Agreement.

Except as set forth on Schedule 2.244.4, no finder, broker, agent, agent or other intermediary, acting on behalf of the CompanyBuyer, is entitled to a commission, fee, fee or other compensation or obligation in connection with the negotiation or consummation of this Agreement or any of the transactions contemplated hereby. Buyer will be solely responsible for payment of any commission, fee or other compensation earned by any such finder, broker, agent or other intermediary of Buyer.

Except as set forth on Disclosure Schedule 2.243.25, no finder, broker, agent, or other intermediary, intermediary acting on behalf of the Company, Seller is entitled to a commission, fee, or other compensation or obligation in connection with the negotiation or consummation of this Acquisition Agreement or any of the transactions contemplated hereby.

Except as set forth on in Schedule 2.243.35, no finder, broker, agent, or other intermediary, acting on behalf of the CompanyCompany or the Sellers, is entitled to a commission, fee, or other compensation or obligation in connection with the negotiation or consummation of this Agreement or any of the transactions contemplated hereby.

Except as set forth on Schedule 2.243.35, no finder, broker, agent, or other intermediary, acting on behalf of the CompanyCompany or Sellers, is entitled to a commission, fee, or other compensation or obligation in connection with the negotiation or consummation of this Agreement or any of the transactions contemplated hereby. Sellers, and not the Company, will pay all commissions, fees and other compensation due to the persons described on Schedule 3.35.

Except as set forth on Schedule 2.243.34, no finder, broker, agent, or other intermediary, acting on behalf of a Shareholder or the Company, is entitled to a commission, fee, or other compensation or obligation in connection with the negotiation or consummation of this Agreement or any of the transactions contemplated hereby.

Except as set forth on Schedule 2.24in Section 3.34 of the Disclosure Letter, no finder, broker, agent, agent or other intermediary, acting on behalf of the CompanySeller or Xxxxxxx, is entitled to a commission, fee, fee or other compensation or obligation in connection with the negotiation or consummation of this Agreement or any of the transactions contemplated hereby.
