Common use of Brokers or Agents Clause in Contracts

Brokers or Agents. No broker, finder or investment banker is entitled to any brokerage, finder’s or other fee or commission in connection with the Transaction based upon any agreement or understanding alleged to have been made by such person directly or indirectly with any Selling Company or, if applicable, any of the Selling Companies’ officers, stockholders, employees or Affiliates, in connection with any of the Transaction.

Brokers or Agents. No broker, finder or investment banker is entitled to any brokerage, finder’s or other fee or commission in connection with the Transaction Transactions based upon any agreement or understanding alleged to have been made by such person directly or indirectly with any Selling Company the Holder or, if applicable, any of the Selling Companies’ Holder’s officers, stockholders, employees managers or Affiliatesemployees, in connection with any of the TransactionTransactions.

No broker, finder or investment banker is entitled to any brokerage, finder’s or other fee or commission in connection with the Transaction based upon any agreement or understanding alleged to have been made by such person Person, directly or indirectly indirectly, with any Selling Company the Purchaser or, if applicable, any of the Selling Companies’ officers, stockholders, directors or employees or Affiliatesof the Purchaser, in connection with any of the Transaction.

Brokers or Agents. No agent, broker, finder investment banker, financial advisor or investment banker other firm or Person is entitled to any brokerage, finder’s 's, financial advisor's or other similar fee or commission for which Vendor or any of its affiliates could become liable in connection with the Transaction based upon transactions contemplated by this Agreement as a result of any agreement action taken by or understanding alleged to have been made by such person directly or indirectly with on behalf of any Selling Company or, if applicable, any of the Selling Companies’ officers, stockholders, employees or Affiliates, in connection with any of the TransactionParty.

No broker, finder investment bank, financial advisor or investment banker other person or entity, is entitled to any brokeragebroker’s, finder’s, financial advisor’s or other similar fee or commission in connection with the Transaction transactions contemplated by this Agreement based upon any agreement or understanding alleged to have been the arrangements made by such person directly or indirectly with any Selling Company or, if applicable, any on behalf of the Selling Companies’ officers, stockholders, employees or Affiliates, in connection with any of the TransactionPurchaser.
