Common use of Broker’s or Finder’s Fee Clause in Contracts

Broker’s or Finder’s Fee. No broker, agent or other intermediary is entitled to any fee, commission or other remuneration in connection with the transactions contemplated by this Agreement based upon arrangements made by or on behalf of the Purchaser.

Broker’s or Finder’s Fee. No agent, broker, agent Person or other intermediary firm acting on behalf of Parent or Buyer is or shall be entitled to any fee, commission or other remuneration broker’s or finder’s fees in connection with this Agreement or any of the transactions contemplated by this Agreement based upon arrangements made by or on behalf hereby from any of the PurchaserParties, or from any Affiliate of the Parties.

Broker’s or Finder’s Fee. No brokeragent, agent broker or other intermediary is Person acting for or on behalf or at the behest of Parent or Merger Sub or any Affiliate thereof is, or will be, entitled to any fee, fee or commission (including any broker’s or other remuneration finder’s fees) in connection with this Agreement or any of the transactions contemplated by this Agreement based upon arrangements made by or on behalf hereby from any of the Purchaserother Parties or from the Company or any Affiliate of the other Parties.

Neither Purchaser nor Xxxxxxx shall have any obligation to pay any fees or on behalf of the Purchasercommissions to any such persons or entities.

No Except for Jxxxxxxxx Broadview, no agent, broker, agent person or other intermediary is entitled to any fee, commission or other remuneration in connection with the transactions contemplated by this Agreement based upon arrangements made by or firm acting on behalf of the PurchaserCompany or the Stockholders is, or will be, entitled to any commission or broker’s or finder’s fees from any of the parties hereto, or from any person controlling, controlled by, or under common control with any of the parties hereto, in connection with this Agreement or any of the transactions contemplated herein.

Broker’s or Finder’s Fee. No agent, broker, agent Person or other intermediary is firm acting on behalf of such Stockholder is, or will be, entitled to any fee, commission or other remuneration broker’s or finder’s fees the cost of which would be borne in whole or in part by the Companies in connection with the transactions contemplated by this Agreement based upon arrangements made by or on behalf any of the PurchaserTransactions.

No Seller shall have any obligation to pay any fees or on behalf of the Purchasercommissions to any such persons or entities.

No agent, broker, agent investment bank, Person or other intermediary is firm acting on behalf of Purchaser is, or shall be, entitled to any fee, commission or other remuneration broker's or finder's fees in connection with this Agreement or any of the transactions contemplated by this Agreement based upon arrangements made by or on behalf hereby from any of the Purchaserparties hereto, or from any Affiliate of the parties hereto.

No agent, broker, agent investment banker, or other intermediary firm acting on behalf of Buyer, or any shareholder of Buyer, or under the authority of any of them, is or will be entitled to any fee, broker's or finder's fee or any other commission or other remuneration similar fee directly or indirectly from Buyer or any such shareholder in connection with any of the transactions contemplated by this Agreement based upon arrangements made by or on behalf of the PurchaserAgreement.
