Common use of Broker’s or Finder’s Fee Clause in Contracts

Broker’s or Finder’s Fee. Except for Rxxxxx & Rxxxxxx, LLC which fees shall be paid solely by the Company, no Person acting on behalf of the Company or any of its Subsidiaries is, or will be, entitled to any investment banking, broker’s, finder’s or similar fee for which the Company, ILDE or any of their respective Affiliates after the Closing could have any liabilities in connection with this Agreement or the Transaction.

Except for Rxxxxx & RxxxxxxNo agent, LLC which fees shall be paid solely by the Companybroker, no Person person or firm acting on behalf of the Company or any of its Subsidiaries the Company’s subsidiaries is, or will be, entitled to any investment bankingfee, broker’s, commission or brokers or finder’s or similar fee for which the Company, ILDE or fees from any of their respective Affiliates after the Closing could have parties hereto, or from any liabilities person controlling, controlled by, or under common control with any of the parties hereto, in connection with this Agreement or any of the Transactiontransactions contemplated hereby.
