Common use of Broker’s or Finder’s Fees Clause in Contracts

Broker’s or Finder’s Fees. No agent, broker, investment banker, or other Person acting on behalf of or under the authority of Seller is or will be entitled to any broker’s or finder’s fee or any other commission or similar fee, directly or indirectly, from Purchaser in connection with the transactions contemplated by this Agreement.

Broker’s or Finder’s Fees. No agent, broker, investment banker, person or other Person firm acting on behalf of or under the authority of Seller is LICENSOR is, or will be be, entitled to any fee, commission or broker’s or finder’s fee or any other commission or similar fee, directly or indirectly, from Purchaser fees for which the LICENSEE may be liable in connection with this Agreement or any of the transactions contemplated by this Agreementhereby.

No agent, broker, investment banker, Person or other Person firm acting on behalf of Purchaser or any Purchaser Subsidiary or under the Purchaser’s or any Purchaser Subsidiary’s authority of Seller is or will be entitled to any advisory, commission or broker’s or finder’s fee or commission from any other commission or similar fee, directly or indirectly, from Purchaser of the parties hereto in connection with any of the transactions contemplated by this AgreementTransactions.

No agent, broker, investment banker, Person or other Person firm acting on behalf of the Company or any Company Subsidiary or under the Company’s or any Company Subsidiary’s authority of Seller is or will be entitled to any advisory, commission or broker’s or finder’s fee or commission from any other commission or similar fee, directly or indirectly, from Purchaser of the parties hereto in connection with any of the transactions contemplated by this AgreementTransactions.

Broker’s or Finder’s Fees. No agent, broker, investment banker, banker or other Person acting on behalf of or under the authority of Seller Transferee (or any of its Affiliates) is or will be entitled to any broker’s or finder’s fee or any other commission or similar fee, directly or indirectly, from Purchaser Transferor in connection with the transactions contemplated by this Agreement. Transferee agrees to indemnify and hold Transferor and its Affiliates harmless from any Loss resulting from a breach of this representation and warranty.
