Common use of Broker’s or Finder’s Fees Clause in Contracts

Broker’s or Finder’s Fees. No agent, broker, person or firm acting on behalf of LICENSOR is, or will be, entitled to any fee, commission or broker’s or finder’s fees for which the LICENSEE may be liable in connection with this Agreement or any of the transactions contemplated hereby.

Broker’s or Finder’s Fees. No agent, broker, person investment banker or firm other Person acting on behalf of LICENSOR is, or under the authority of Purchaser is or will be, be entitled to any fee, commission or broker’s or finder’s fees for which the LICENSEE may be liable fee or any other commission or similar fee, directly or indirectly, from Seller in connection with this Agreement or any of the transactions contemplated herebyby this Agreement.

Broker’s or Finder’s Fees. No agent, broker, person Person or firm acting on behalf of LICENSOR is, Purchaser or any Purchaser Subsidiary or under Purchaser’s or any Purchaser Subsidiary’s authority is or will be, be entitled to any feeadvisory, commission or broker’s or finder’s fees for which fee or commission from any of the LICENSEE may be liable parties hereto in connection with this Agreement or any of the transactions contemplated herebyTransactions.

Broker’s or Finder’s Fees. No agent, broker, person Person or firm acting on behalf of LICENSOR is, the Company or any Company Subsidiary or under the Company’s or any Company Subsidiary’s authority is or will be, be entitled to any feeadvisory, commission or broker’s or finder’s fees for which fee or commission from any of the LICENSEE may be liable parties hereto in connection with this Agreement or any of the transactions contemplated herebyTransactions.

Broker’s or Finder’s Fees. No agent, broker, person investment banker or firm other Person acting on behalf of LICENSOR is, or under the authority of Transferee (or any of its Affiliates) is or will be, be entitled to any fee, commission or broker’s or finder’s fees for which the LICENSEE may be liable fee or any other commission or similar fee, directly or indirectly, from Transferor in connection with this Agreement or any of the transactions contemplated herebyby this Agreement. Transferee agrees to indemnify and hold Transferor and its Affiliates harmless from any Loss resulting from a breach of this representation and warranty.

No agent, broker, person investment banker, Person or firm acting on behalf of LICENSOR isthe Buyer, any Subsidiary or any stockholder thereof, or under the authority thereof, is or will be, be entitled to any fee, brokers’ or finders’ fee or any other commission or broker’s similar fee directly or finder’s fees for which indirectly from any of the LICENSEE may be liable parties hereto in connection with this Agreement or any of the transactions contemplated hereby.

No agent, broker, person or firm Person acting on behalf of LICENSOR is, Seller Parties is or will be, be entitled to any brokers’ or finders’ fee or any other commission or similar fee, commission directly or broker’s or finder’s fees indirectly, for which the LICENSEE may be Buyer is liable or obligated in connection with this Agreement or any of the transactions contemplated hereby.

No agent, broker, person or firm Person acting on behalf of LICENSOR is, Buyer Parties are or will be, be entitled to any brokers’ or finders’ fee or any other commission or similar fee, commission directly or broker’s or finder’s fees indirectly, for which the LICENSEE may be Seller is liable or obligated in connection with this Agreement or any of the transactions contemplated hereby.

Broker’s or Finder’s Fees. No agent, broker, person broker or firm other Person acting on behalf of LICENSOR is, the Company or will be, under its authority is or shall be entitled to any feecommission, commission or broker’s 's or finder’s fees for which the LICENSEE may be liable 's fee in connection with this Agreement or any of the transactions contemplated herebyby this Agreement.

No agent, broker, investment banker, person or firm acting on behalf of LICENSOR isthe Buyer or any person, firm or corporation affiliated with the Buyer or under its authority is or will be, be entitled to any fee, brokers' or finders' fee or any other commission or broker’s similar fee directly or finder’s fees for which indirectly from any of the LICENSEE may be liable parties hereto in connection with this Agreement or any the sale of the transactions Shares contemplated hereby.

No agent, broker, person investment banker, or other Person or firm acting on behalf of LICENSOR is, Holding or Buyer is or will be, be entitled to any fee, broker's or finder's fee or any other commission or broker’s similar fee directly or finder’s fees for which the LICENSEE may be liable indirectly from Holding or Buyer in connection with this Agreement or any of the transactions contemplated herebyby this Agreement, other than customary fees and expenses of attorneys, accountants and similar professionals.

No agent, broker, person or firm acting on behalf of LICENSOR the Seller is, or will shall be, entitled to any fee, commission or broker’s or finder’s fees for which the LICENSEE may be liable from either Party, in connection with this Agreement or any of the transactions contemplated herebyherein.

No agent, broker, person or firm acting on behalf of LICENSOR Seller or the Company is, or will be, entitled to any fee, commission or broker’s 's or finder’s 's fees for which from any of the LICENSEE may be liable parties hereto, or from any Person controlling controlled by or under common control with any of the parties hereto, in connection with this Agreement or any of the transactions contemplated herebyherein, except for Alliance-BRG, Ltd., whose fees and expenses will be paid by Seller.

No agent, broker, person Person or firm acting on behalf of LICENSOR Buyer is, or will be, entitled to any fee, commission or broker’s or finder’s fees for which from any of the LICENSEE may be liable parties hereto, or from any Person controlling, controlled by or under common control with any of the parties hereto, in connection with this Agreement or any of the transactions contemplated herebyherein.

No agent, broker, person firm or firm other Person acting on behalf of LICENSOR Seller is, or will be, entitled to any feeinvestment banking, commission commission, or broker’s or finder’s fees for which from any of the LICENSEE may be liable parties hereto, or from any Affiliate of any of the Parties hereto, in connection with this Agreement or any of the transactions contemplated herebyby this Agreement, other than Near Earth LLC.

Broker’s or Finder’s Fees. No agent, broker, person investment banker, financial advisor or firm acting on behalf of LICENSOR is, or will be, other Person is entitled to any feebroker’s, commission or brokerfinder’s, financial advisor’s or finder’s fees for which the LICENSEE may be liable other similar fee or commission in connection with the transactions contemplated by this Agreement based upon arrangements made by Seller or any of the transactions contemplated herebyits Affiliates.

No agent, broker, person or firm acting on behalf of LICENSOR Buyer is, or will be, entitled to any fee, commission or broker’s or finder’s fees for which the LICENSEE may be liable from Seller in connection with this Agreement or any the purchase and sale of the transactions contemplated herebyShares hereunder.

No agent, broker, person or firm acting on behalf of LICENSOR the Principal Shareholders or VIEWPON is, or will be, entitled to any fee, commission or broker’s or finder’s fees for which from any of the LICENSEE may be liable parties hereto, or from any Person controlling, controlled by or under common control with any of the parties hereto, in connection with this Agreement or any of the transactions contemplated herebyby this Agreement.

Broker’s or Finder’s Fees. No agent, broker, person or firm Person acting on behalf of LICENSOR Seller is, or will be, entitled to any fee, commission or broker’s or finder’s fees for which the LICENSEE may be liable in connection with this Agreement or any of the transactions contemplated hereby.

No agent, broker, person or firm acting on behalf of LICENSOR Purchaser is, or will be, entitled to any fee, commission or broker’s brokers’ or finder’s finders’ fees for which from the LICENSEE may be liable Company, the Stockholders, or their Affiliates, in connection with this Agreement or any of the transactions contemplated herebyby this Agreement.

Broker’s or Finder’s Fees. No agent, broker, person Person or firm acting on behalf of LICENSOR Seller is, or will be, entitled to any fee, commission or broker’s brokers' or finder’s finders' fees for which the LICENSEE may be liable from Buyer or any of its Affiliates in connection with this Agreement or any of the transactions contemplated herebyby this Agreement.

Broker’s or Finder’s Fees. No agent, broker, person or firm acting on behalf of LICENSOR such Seller is, or will be, entitled to any fee, commission or broker’s or finder’s fees for which from any of the LICENSEE may be liable Parties, or from any Affiliate of any of the Parties, in connection with this Agreement or any of the transactions contemplated herebyby this Agreement and each of the Ancillary Agreements to which such Seller is a party.

No agent, broker, person broker or firm Person acting on behalf of LICENSOR any of Sellers is, or will be, entitled to any fee, commission or broker’s or finder’s fees for which the LICENSEE may be liable from Purchaser in connection with this Agreement or any the Contemplated Transactions; provided, however, the Seller’s investment banker, [Xxxxx Xxxxxxx], shall seek the Bankruptcy Court’s approval to receive a transaction fee in accordance with the terms of the transactions contemplated herebyits retention application.

No agent, broker, person investment banker, person, or firm acting on behalf of LICENSOR isSellers, the Company or directors or any person affiliated with it, or under its authority, is or will be, be entitled to any a financial advisory fee, commission brokerage commission, finder's fee or broker’s or finder’s fees for which the LICENSEE may be liable other like payment in connection with this Agreement or any of the transactions contemplated hereby.

No agent, broker, person investment banker or firm other Person acting on behalf of LICENSOR isthe Seller or the Corporation, or under the authority thereof, is or will be, be entitled to any fee, brokers' or finders' fee or any other commission or broker’s similar fee directly or finder’s fees for which indirectly from any of the LICENSEE may be liable Parties hereto in connection with this Agreement or any of the transactions contemplated hereby.

No agent, broker, person or firm acting on behalf of LICENSOR the Seller is, or will be, entitled to any fee, commission or broker’s or finder’s fees for which from any party hereto, or any Affiliate of the LICENSEE may be liable parties hereto, in connection with this Agreement or any of the transactions contemplated herebyAcquisition.

Broker’s or Finder’s Fees. No agent, broker, person or firm acting on behalf of LICENSOR the Buyer is, or will be, entitled to any fee, commission or broker’s or finder’s fees for which from any of the LICENSEE may be liable parties hereto, or from any person controlling, controlled by or under common control with any of the parties hereto, in connection with this Agreement or any of the transactions contemplated herebyherein.

Broker’s or Finder’s Fees. No agent, broker, person investment banker, person, or firm acting on behalf of LICENSOR is, Seller is or will be, be entitled to any fee, commission or broker’s or finder’s fees for which the LICENSEE may be liable or any other commission or similar fee directly or indirectly from Seller in connection with this Agreement or any the sale of the transactions Purchased Assets contemplated herebyby this Agreement.

Broker’s or Finder’s Fees. No agent, broker, person or firm acting on behalf of LICENSOR the Company or the Shareholders is, or will be, entitled to any fee, commission or broker’s or finder’s fees for which from any of the LICENSEE may be liable parties hereto, or from any Person controlling, controlled by or under common control with any of the parties hereto, in connection with this Agreement or any of the transactions contemplated herebyby this Agreement.

No agent, broker, person or firm acting on behalf of LICENSOR either of the Sellers or RVR is, or will be, entitled to any fee, commission or broker’s 's or finder’s 's fees for which from any parties hereto, or any Affiliate of the LICENSEE may be liable parties hereto, in connection with this Agreement or any of the transactions contemplated herebyStock Sale.

No agent, broker, investment banker, or other person or firm acting on behalf of LICENSOR is, the Company and its Subsidiaries is or will be, be entitled to any fee, commission or broker’s or finder’s fees for which fee or any other commission or similar fee directly or indirectly from the LICENSEE may be liable Company or its Subsidiaries in connection with this Agreement or any of the transactions contemplated herebyby this Agreement.
