Common use of Broker’s or Finder’s Fees Clause in Contracts

Broker’s or Finder’s Fees. No broker, finder, investment banker or other Person is entitled to any brokerage, finder’s or other fee or commission from the Company in connection with the transactions contemplated by the Transaction Agreements.

No agent, broker, finder, investment banker or other Person acting on behalf of or under the authority of Purchaser is or will be entitled to any brokerage, broker’s or finder’s or other fee or any other commission or similar fee, directly or indirectly, from the Company Seller in connection with the transactions contemplated by the Transaction Agreementsthis Agreement.

No investment banker, broker, finder, investment banker finder or other Person is entitled to any brokerage, brokerage or finder’s or other fee or similar commission from in respect thereof based in any way on agreements, arrangements or understandings made by or on behalf of MLP or any of its Affiliates which is, or following the Company in connection with the transactions contemplated by the Transaction AgreementsClosing would be, an obligation of HOLDINGS or any of its Affiliates.
