Brokers; Service Providers. Except as set forth on Schedule 3.19, neither the Seller nor any of its Affiliates have any Liability to pay any brokers’, finders’ or similar agents’ fees or commissions with respect to the Transactions. Except for third party service providers set forth on Schedule 3.19, neither the Seller nor any of its Affiliates have any Liability to pay any fees, commissions, expenses or reimbursements of any third party service provider with respect to the Transactions.
