Neither the Company nor the Company Subsidiary has entered into and will not enter into any contract, agreement, arrangement or understanding with any Person which will result in the obligation of Buyer, the Company or the Company Subsidiary to pay any finder's fee, brokerage commission, legal, accounting, or similar payment in connection with the transactions contemplated hereby.
