Brokers; Transaction Costs. Except as set forth on Schedule 3.28, -------------------------- ------------- the Company has not entered into and will not enter into any contract, agreement, arrangement or understanding with any Person which will result in the obligation of Parent, the Company or any other Person to pay any finder's fee, brokerage commission, or similar payment in connection with the transactions contemplated hereby.
