Common use of Brookfield Agreement Clause in Contracts

Brookfield Agreement. The termination of the Brookfield Agreement effected in accordance with Section 1.07 was duly authorized and validly effected in accordance with the terms thereof. No termination fee is payable to Brookfield other than the Brookfield Termination Fee and the Company has no other liability or obligation under the Brookfield Agreement, including with respect to the payment of any other termination fees or (other than as contemplated by Section 4.18) any other fees and expenses. As of the date of this Agreement, the Company has not received notice of any breach of the Brookfield Agreement.
