Common use of Bulk Sale Filings Clause in Contracts

Bulk Sale Filings. Purchaser hereby waives compliance for the Sellers and their respective Affiliates with the provisions of any bulk sales transfer Laws applicable to the transfers described in this Agreement. The Sellers shall indemnify and hold harmless Purchaser from and against any and all Liabilities that may be asserted by third parties against Purchaser as a result of such Seller noncompliance.
