Common use of Bulk Sales Act Clause in Contracts

Bulk Sales Act. Buyer waives compliance by Seller with any applicable Bulk Sales Act or similar law to the extent required in connection with this transaction. Seller shall indemnify, defend and hold harmless Buyer and the Property from any demands, claims or liabilities arising from any failure of Seller to so comply as provided in Section 20 of this Contract.

Bulk Sales Act. Buyer waives compliance by Seller with any bulk sales law which may be applicable Bulk Sales Act or similar law to the extent required in connection with transactions contemplated by this transaction. Agreement; provided, however, that Seller shall indemnify, defend agrees to indemnify Buyer and hold it harmless Buyer and the Property from any demandsloss, claims or liabilities arising damage, liability, and expenses (including reasonable legal fees) resulting from any failure of Seller to so comply as provided in Section 20 of this Contractsuch noncompliance.

Bulk Sales Act. Buyer waives compliance by Seller with the provisions of Article 6 of the Uniform Commercial Code, or equivalent bulk transfer laws, of any applicable Bulk Sales Act or similar law to the extent required in connection with this transactionstate. Seller shall indemnify, defend indemnify and hold harmless Buyer from and the Property from against any demandsand all expense, loss or liability which Buyer may suffer as a result of claims or liabilities arising from asserted by third parties against Buyer due to any failure of noncompliance by Seller to so comply as provided in Section 20 of this Contractand Buyer with applicable bulk transfer laws.

Bulk Sales Act. Seller has requested and Buyer waives has agreed to waive any compliance by required of Seller with any respect to the applicable Bulk Sales Act Act(s) or similar law to the extent required in connection with this transactionstatutes. In exchange for said waiver, Seller shall indemnifyindemnify Buyer from and against any and all claims, defend and hold harmless Buyer and the Property from any demandsactions, claims causes of action, liabilities or liabilities arising from any failure judgments which may be asserted, or recovered against Buyer, by reason of Seller to so comply as provided in Section 20 of this ContractBuyer’s waiver or Seller’s non-compliance with applicable Bulk Sales legislation.
