Common use of Bulk Sales Law Waiver Clause in Contracts

Bulk Sales Law Waiver. Each party hereto agrees to waive compliance by the other with the provisions of the bulk sales law or comparable law of any jurisdiction to the extent that the same may be applicable to the Transactions. SHP agrees to indemnify and hold harmless Alter and Management from and against any and all claims that may be asserted against Alter and Management as a result of any failure to comply with any such bulk sales law or comparable law of any jurisdiction to the extent that the same may be applicable to the Transactions.
