Common use of Bulk Sales Law Clause in Contracts

Bulk Sales Law. Buyer hereby waives compliance by Sellers, in connection with the transactions contemplated hereby, with the provisions of any applicable bulk transfer laws.

Notwithstanding any such waiver, each of the Sellers, severally, and MFFB jointly and severally with each Seller, agrees to indemnify Buyer against all liability, damage or expense which Buyer may suffer due to the failure to so comply or to provide notice required by any such law.

Xxxxxx agrees to indemnify and hold Purchaser harmless against any and all Losses incurred by Purchaser or any of its Affiliates as a result of any applicable failure to comply with any such “bulk transfer lawssales,” “bulk transfer” or similar Laws.

Bulk Sales Law. Buyer hereby waives compliance by SellersSeller with the obligations imposed on vendors under the Bulk Sales Act, in connection with or the equivalent, as a result of the transactions contemplated hereby, with the provisions of any applicable bulk transfer lawsby this Agreement.

Buyer The Buyers hereby waives waive compliance by Sellers, in connection with the transactions contemplated hereby, Seller with the provisions of any applicable so-called bulk transfer laws of any jurisdiction in connection with the sale of the Acquired Assets, and the Seller shall indemnify and hold harmless the Buyers and any of their Affiliates from and against any claims arising out of or due to failure to comply with such bulk transfer laws.

Bulk Sales Law. Buyer hereby waives compliance by Sellers, Seller with the provisions of all applicable so called “bulk sales” or “bulk transfer” laws in connection with the transactions contemplated hereby, with the provisions of any applicable bulk transfer lawsby this Agreement.

Bulk Sales Law. Buyer hereby waives compliance by SellersSeller with the provisions -------------- of any Bulk Sales Law, in connection with including without limitation, the bulk transfer provisions of the Uniform Commercial Code of any state, or any similar statute, if and to the extent applicable to the transactions contemplated herebyby this Agreement, with the provisions of and Seller shall indemnify and hold harmless Buyer from and against any applicable bulk transfer lawscost, expense or liability resulting from such waiver by Buyer.

Bulk Sales Law. Buyer Purchaser hereby waives compliance by Sellersany Seller, in connection with the transactions contemplated hereby, with the provisions of any applicable bulk transfer lawssales law (including the Uniform Commercial Code Bulk Transfer provisions).

Bulk Sales Law. Seller and Buyer hereby waives waive compliance by Sellers, in connection with the transactions applicable Bulk Sales Law, insofar as it may be applicable to any transaction contemplated hereby, with the provisions of any applicable bulk transfer lawsby this Agreement.

Bulk Sales Law. Buyer Purchaser hereby waives compliance by Sellersthe Seller, in connection with the transactions contemplated hereby, with the provisions of any applicable bulk transfer lawssales law (including the Uniform Commercial Code Bulk Transfer provisions), other than any applicable bulk sales regulation promulgated by the Office of the Comptroller of the Currency.
