Bulk Transfers, Etc. The grant of the security interest in the Collateral by the Borrower to the Collateral Agent pursuant to this Loan Agreement is in the ordinary course of business for the Borrower and is not in violation of the bulk transfer or any similar statutory provisions in effect in any applicable jurisdiction. No such Collateral has been or will be sold, transferred, assigned or pledged by the Borrower to any Person other than the pledge of such Collateral to the Collateral Agent pursuant to the terms of this Loan Agreement.
Bulk Transfers, Etc. The sale of the Collateral by LEAF to the Borrower pursuant to the Acquisition Agreement is in the ordinary course of business for LEAF and does not violate the bulk transfer or any similar statutory provisions in effect in any applicable jurisdiction.
