Bulk Transfers. The parties hereto waive compliance with the requirements of the bulk sales law of any jurisdiction in connection with the sale of the Technology to Purchaser hereunder. Seller shall indemnify and hold harmless Purchaser against all losses which may be incurred by Purchaser as a result of noncompliance with any such Bulk Sales Laws.
