Business Associate Agreements. The Parties acknowledge that the RemainCo Group or the SpinCo Group may provide certain administrative services for the other Party’s group health plans for a transitional period under the terms of the Transition Services Agreement. The Parties agree to enter into a business associate agreement, if required by the Health Insurance Portability and Accountability Act of 1996, as amended (“HIPAA”), or other applicable health information privacy Laws in a customary form to be mutually agreed in connection with the provision of such services.

Business Associate Agreements. In such cases, or the Party providing the administrative services agrees to comply with the business associate addendum that is attached to the Transition Services Agreement, as well as all other applicable health information privacy Laws in a customary form to be mutually agreed in connection with the provision of such servicesLaws.
