Common use of Business Associates Agreement Clause in Contracts

Business Associates Agreement. A Business Associate, for the purposes of this Agreement is defined as a contractor who creates, receives, maintains or transmits Protected Health Information in connection with providing services on behalf of the County or who provides legal, actuarial, accounting, consulting, management, administrative, accreditation, data aggregation, or financial services where the performance of the services involves the County giving the contractor access to Protected Health Information. Contractor agrees to safeguard all Protected Health Information it creates or receives as required by the Health Insurance Portability and Accountability Act (HIPAA) as amended and agrees to protect, defend and indemnify County against liability for loss, cost or damage resulting from actual or alleged violations of HIPAA by Contractor. At any point during the term of this Agreement, should it be determined that the Contractor is performing services for the County that makes the Contractor a Business Associate, the Contractor shall sign the County’s Business Associates Agreement agreeing to safeguard Protected Health Information as required under HIPAA.
