Common use of Business Combination Agreement Clause in Contracts

Business Combination Agreement. Sponsor understands and acknowledges that Acquiror, PubCo and the Company are entering into the Business Combination Agreement in reliance upon Sponsor’s execution and delivery of this Agreement. Sponsor has received a copy of the substantially finalized Business Combination Agreement, is familiar with the provisions of the Business Combination Agreement, and has consented to (and hereby consents to) Acquiror’s entry into the Business Combination Agreement.

Business Combination Agreement. Such Sponsor Party understands and acknowledges that Acquiror, PubCo and the Company are entering and PubCo entered into the Business Combination Agreement in reliance upon Sponsor’s execution and delivery of this the Existing Sponsor Support Agreement. Such Sponsor Party has received a copy of the substantially finalized Business Combination Agreement, is familiar with the provisions of the Business Combination Agreement, and has consented to (and hereby consents to) Acquiror’s entry into the Business Combination Agreement.

Business Combination Agreement. Sponsor understands and acknowledges that Acquiror, PubCo PubCo, Amalgamation Sub and the Company are entering into the Business Combination Agreement in reliance upon Sponsor’s execution and delivery of this Agreement. Sponsor has received a copy of the substantially finalized Business Combination Agreement, is familiar with the provisions of the Business Combination Agreement, Agreement and has consented to (and hereby consents to) Acquiror’s entry into the Business Combination Agreement.

Sponsor understands and acknowledges that AcquirorSPAC, PubCo and the Company and PubCo are entering into the Business Combination Agreement in reliance upon the Sponsor’s execution and delivery of this Agreement. Sponsor has received a copy of the substantially finalized Business Combination Agreement, Agreement and is familiar with the provisions of the Business Combination Agreement. For the avoidance of doubt, and has consented to (and by executing this Agreement, Sponsor hereby consents to) Acquiror’s entry to the SPAC entering into the Business Combination Agreement.
