Between the date of this Agreement and the Closing Date, Seller shall use its reasonable efforts, and shall cause Seller and each of its Subsidiaries to use its respective reasonable efforts, to (a) Preserve substantially intact the business organization of Seller and each of its Subsidiaries and keep available the services of the present officers and employees of Seller and each of its Subsidiaries, and (b) Preserve in all material respects the present business relationships and good will of Seller and each of its Subsidiaries.
