The Company will not consummate a Business Transaction with any entity which any of its officers, advisors or directors, the Sponsor or its affiliates has a substantial interest in unless the Company obtains an opinion from an independent investment banking firm that the Business Transaction is fair to the Company’s shareholders from a financial perspective.
