Common use of Businesses and Properties Clause in Contracts

Businesses and Properties. At all times do or cause to be done all things necessary to preserve, renew, extend and keep in full force and effect the rights, licenses, permits, franchises, authorizations, patents, copyrights, trademarks and trade names then material to the conduct of its businesses; maintain and operate such businesses in substantially the manner in which they are presently conducted and operated by it (subject to changes in the ordinary course of business and changes contemplated by Section 6.05(b)); comply in all material respects with all laws and regulations applicable to the operation of such businesses (including any zoning, building, Environmental Law, ordinance, code or approval or any building permits or any restrictions of record or agreements affecting the Mortgaged Properties) and decrees and orders of any Governmental Authority whether now in effect or hereafter enacted and with all other applicable laws and regulations; take all action which may be required to obtain, preserve, renew and extend all licenses, permits and other authorizations which may be material to the 88 operation of such businesses; and at all times maintain, preserve and protect all property material to the conduct of such businesses, defend such property from all claims asserted against it, operate such property in a good and workmanlike manner and keep such property in good repair, working order and condition and from time to time make, or cause to be made, all needful and proper repairs, renewals, additions, improvements and replacements thereto necessary in the reasonable opinion of the Borrowers' management in order that the business carried on in connection therewith may be properly conducted at all times.

(a) At all times do or cause to be done all things necessary to preserve, renew, extend renew and keep in full force and effect the rights, licenses, permitsPermits, franchises, authorizations, patents, copyrights, trademarks and trade names then material to the conduct of its businesses; maintain and operate such businesses in substantially the manner in which they are presently conducted and operated by it (subject to changes in the ordinary course of business and changes contemplated by Section 6.05(b)); b) comply in all material respects with all laws laws, rules, regulations and regulations governmental orders (whether Federal, state or local) applicable to the operation of such businesses (including any zoning, building, Environmental Law, ordinance, code or approval or any building permits or any restrictions of record or agreements affecting the Mortgaged Properties) and decrees and orders of any Governmental Authority whether now in effect or hereafter enacted (including, without limitation, all applicable laws, rules, regulations and governmental orders relating to public and employee health and safety and all Environmental Laws) and with any and all other applicable laws laws, rules, regulations and regulationsgovernmental orders the lack of compliance with which would have a Material Adverse Effect; (c) take all action actions which may be required to obtain, preserve, renew and extend all licenses, permits Permits and other authorizations which may be are material to the 88 operation of such businesses; and (d) at all times maintain, preserve and protect all property material to the conduct of such businesses, defend such property from all claims asserted against it, operate such property in a good and workmanlike manner businesses and keep such property in good repair, working order and condition condition, ordinary wear and tear excepted, and from time to time make, or cause to be made, all needful and proper repairs, renewals, additions, improvements and replacements thereto necessary in the reasonable opinion of the Borrowers' management in order that the business carried on in connection therewith may be properly conducted at all times. Notwithstanding the foregoing, non-compliance with clauses (a) and (c) above shall not constitute an Event of Default unless such non-compliance is not cured within 15 days after the occurrence of such non-compliance.
