Buy-Sell Agreements. (a) In connection with the Original Credit Agreement, the Borrower delivered the following Buy-Sell Agreements: (i) that certain Buy-Sell Agreement, dated as of August 31, 2012, between the Borrower and the Adminsitrative Agent, relating to the pledge of 49% of the Borrower’s ownership interests in Stone Rise to Administrative Agent (the “Stone Rise Buy-Sell”, (ii) that certain Buy-Sell Agreement, dated as of August 31, 2012, between the Borrower and the Adminsitrative Agent, relating to the pledge of 49% of the Borrower’s ownership interests in Summit Crossing to Administrative Agent (the “Summit Crossing Buy-Sell”), (iii) that certain Buy-Sell Agreement, dated as of April 4, 2013, between the Borrower and the Adminsitrative Agent, relating to the pledge of 49% of the Borrower’s ownership interests in XxXxxx Ranch to Administrative Agent, (iv) that certain Buy-Sell Agreement, dated as of April 4, 2013, between the Borrower and the Adminsitrative Agent, relating to the pledge of 49% of the Borrower’s ownership interests in Lake Cameron to Administrative Agent, (v) that certain Buy-Sell Agreement, dated as of April 4, 2013, between the Borrower and the Adminsitrative Agent, relating to the pledge of 49% of the Borrower’s ownership interests in Ashford Park to Administrative Agent (the “Ashford Park Buy-Sell”), (vi) that certain Amended and Restated Buy-Sell Agreement, dated as of December 5, 2013, between the Borrower and the Adminsitrative Agent, relating to the pledge of 49% of the Borrower’s ownership interests in Trail Creek to Administrative Agent, and (vii) that certain Buy-Sell Agreement, dated as of July 1, 2014, between the Borrower and the Adminsitrative Agent, relating to the pledge of 49% of the Borrower’s ownership interests in Summit II to Administrative Agent (collectively, the “Existing Buy-Sell Agreements”). The Administrative Agent and the Lenders hereby agree that Borrower shall not be required to amend and restate the Existing Buy-Sell Agreements in connection with this Agreement and that the Existing Buy-Sell Agreements shall continue in full force and effect. The Existing Buy-Sell Agreements are hereby amended so that (i) any reference therein to the “Credit Agreement” shall mean to this Agreement, and (ii) all references to the “Security Agreement” in the Existing Buy-Sell Agreements shall refer to the Security Agreement as such term is defined herein.

Buy-Sell Agreements. To the Knowledge of Acquired Corporation, ------------------- there are no agreements among any of its shareholders granting to any person or persons a right of first refusal in respect of the sale, transfer, or other disposition of shares of outstanding securities by any shareholder of Acquired Corporation, any similar agreement or any voting agreement or voting trust in respect of any such shares.
Buy-Sell Agreements. To the Knowledge of Seller and Union, there are no agreements granting to any person or persons a right of first refusal in respect of the sale, transfer, or other disposition of shares of outstanding securities of any Acquired Corporation Company, any similar agreement or any voting agreement or voting trust in respect of any such shares.
Buy-Sell Agreements. The Company and Howaxx X. Xxxxxx xxxeby covenant and agree with Buyer that at the Closing, they shall execute, deliver and enter into a Buy-Sell Agreement in the form attached hereto as Exhibit Q-1 (the "Saffxx Xxx-Sell Agreement"). The Company and Kevix Xxxxxxxxxx xxxeby covenant and agree with Buyer that at the Closing, they shall execute, deliver and enter into a Buy-Sell Agreement in the form attached hereto as Exhibit Q-2 (the "Schuxxxxxx Xxx-Sell Agreement," and collectively with the Saffxx Xxx-Sell Agreement, the "Buy-Sell Agreements").
Buy-Sell Agreements. Each Credit Party that has pledged less than 100% of the Equity Interests that it owns in any Subsidiary of the Borrower shall have duly executed and delivered to the Administrative Agent a Buy-Sell Agreement.
Buy-Sell Agreements. As of the date of this Agreement, each of G. Xxxxxx Xxxxxxxx, Xx. and Xxxxxx Xxxxxx agree to enter into a buy-sell agreement with Buyer granting Buyer the right to purchase any shares of Buyer’s capital stock owned now or in the future by an Stockholder, in the form attached hereto as Exhibit C (a “Buy-Sell Agreement”).

Buy-Sell Agreements. At the Effective Time, each Buy-Sell Agreement shall automatically be terminated and no longer effective, and each provision therein under which the Company or any Shareholder may have any rights as a result of or in connection with the Transactions shall be irrevocably waived.
Buy-Sell Agreements. The Borrower shall not, nor permit any of its Subsidiaries to, enter Buy-Sell Agreements creating obligations in excess of $25,000,000 in the aggregate at any one time outstanding.
Buy-Sell Agreements. A Buy-Sell Agreement shall have been executed and delivered by the Company and each Founder and shall be in the form of Exhibit D-1 through Exhibit D-4 attached hereto, as appropriate.
