Buyer and Parent Corporate Documents. Buyer and Parent shall each ------------------------------------ have delivered to Sellers a copy of its articles of incorporation certified by the Mississippi Secretary of State or a copy of its certificate of organization certified by the Delaware Secretary of State, as the case may be, a good standing certificate dated not more than ten days prior to Closing by the Mississippi Secretary of State or the Delaware Secretary of State and a copy of the resolutions adopted by Buyer and Parent in connection with this Agreement, certified in each case by its corporate secretary.

  • Officers and Directors of the Surviving Corporation The directors of Merger Sub immediately prior to the Effective Time shall be the directors of the Surviving Corporation, and the officers of Merger Sub immediately prior to the Effective Time shall be the officers of the Surviving Corporation, each to hold office in accordance with the certificate of incorporation and by-laws of the Surviving Corporation, in each case until their respective successors are duly elected and qualified.
