Common use of Buyer Authority Clause in Contracts

Buyer Authority. Buyer has the corporate right, power, legal capacity and authority to execute, deliver and perform its obligations under this Agreement and the documents, instruments and certificates to be executed and delivered by Buyer pursuant to this Agreement. The execution, delivery and performance of this Agreement by Buyer and the transactions contemplated hereby have been, and all documents, instruments and certificates have been or as of the Closing will be, duly authorized by all necessary corporate action on the part of Buyer.

Buyer Authority. Buyer has the corporate full legal right, power, legal capacity power and authority to executeexecute and deliver this Agreement and to perform in accordance with its terms, deliver without the consent or approval of any person, firm, governmental agency or other legal entity. The execution and perform delivery of this Agreement and the performance by Buyer of its obligations under this Agreement do not and the documentswill not contravene or conflict with any provision of law, instruments and certificates to be executed and delivered by Buyer pursuant to this Agreement. The executionany applicable judgment, delivery and performance ordinance, regulation or order of this Agreement by Buyer and the transactions contemplated hereby have been, and all documents, instruments and certificates have been any court or as of the Closing will be, duly authorized by all necessary corporate action on the part of Buyergovernmental agency.
