Buyer Closing Certificate. Seller will have received a certificate, duly executed by an executive officer of Buyer, certifying as to the matters set forth in Section 3.4(c)(i) and Section 3.4(c)(ii).
Buyer Closing Certificate. Seller shall have received a certificate, dated the Closing Date and signed by a duly authorized officer of Buyer, that each of the conditions set forth in Section 6.2(a) and Section 6.2(b) have been satisfied (the “Buyer Closing Certificate”).

The Parent shall have been furnished with a certificate executed by an officer of the Buyer (the "BUYER CLOSING CERTIFICATE"), dated the Closing Date, certifying that the conditions set forth in SECTION 8.1 and SECTION 8.2 hereof have been fulfilled at or prior to the Closing Date.
