Section 3.1.1.4.1. The representations and warranties contained ----------------- in Section 4.1 and/or contained in any of the other Financing Documents are ----------- correct on and as of the Closing Date as though made on and as of such date; and
An Officer. Job Xxxxxxx of SEIU LOCAL 1021 may file a grievance on behalf of SEIU LOCAL 1021 if he/she believes the District has violated an express term of Agreement.
An Officer whose employment is terminated on the grounds of redundancy in accordance with the provisions of this Article, shall be paid a lump sum payment hereinafter referred to as retrenchment benefits.
An Officer s Certificate of the Depositor on behalf of the Issuer complying with the requirements of Section 13.1 and stating that:
(A) the Issuer is not in Default under this Indenture and the issuance of the Notes will not result in any breach of any of the terms, conditions or provisions of, or constitute a default under, any indenture, mortgage, deed of trust or other agreement or instrument to which the Issuer is a party or by which it is bound, or any order of any court or administrative agency entered in any proceeding to which the Issuer is a party or by which it may be bound or to which it may be subject;
(B) the Issuer is the owner of all of the Mortgage Loans, has not, other than pursuant to this Indenture, assigned any interest or participation in the Mortgage Loans (or, if any such interest or participation has been assigned, it has been released) and has the right to Grant all of the Mortgage Loans to the Indenture Trustee;
(C) the Issuer has Granted to the Indenture Trustee all of its right, title and interest in and to the Collateral, and has delivered or caused the same to be delivered to the Indenture Trustee;
(D) attached thereto are true and correct copies of letters signed by the Rating Agencies to the effect that the Notes has been assigned the Required Rating; and
(E) all conditions precedent provided for in this Indenture relating to the authentication and delivery of the Notes have been complied with.
An Officer scheduled for a multi-day pattern away from Home Base shall carry sufficient spare uniform and personal effects to cope with their scheduled pattern, plus a contingency factor of two (2) days.
An Officer. An Officer is an officer in fact and who earns for the Compensation period in excess of one and one-half (1-1/2) times or 150% of the Code Section 415 dollar limit for defined contribution plans. The number of Officers is limited to a maximum of the lesser of:
(i) 50 Employees or,
(ii) the greater of 3 Employees or 10% of all Employees If no one in the Company has Compensation in excess of 1-1/2 times or 150% of the defined contribution dollar limit, then the one officer with the highest Compensation is considered a Key Employee.
An Officer. (a) who is a permanent full-time Officer with the Company and who qualifies for certification as an Engineer Officer with a higher certificate or part of a certificate or endorsement or is a relief Officer who at the Company’s discretion is entitled to this provision; and
(b) who at the commencement of the navigation season immediately after the Officer has obtained a higher certificate, part of a certificate or endorsement is re-employed by the Company; and
(c) who after re-employment remains with the Company for a period of one hundred and eighty (180) days, shall be entitled to receive from the Company in respect of (a) and (b) above:
(d) If the Engineer Officer who has received an allowance resigns or is fired for just cause during the navigation season, reimbursement will have to be made to the Company.
(e) In the event that Transport Canada changes the title of the certificate, this clause shall be amended to reflect these changes but in no event will the premiums be reduced.
