At Closing, Buyer shall deliver or cause to be delivered to Seller: (i) the Warrant, duly executed by the Buyer; (ii) the Lock-Up Agreement, duly executed by MDB Capital; (iii) the Bxxx of Sale and General Assignment Agreement, duly executed by Buyer; (iv) the Patent Assignment Agreement, duly executed by Buyer; and (v) a copy of all Consents and Waivers to which Buyer is a party, duly executed by Buyer.
