Common use of BUYER DELAY Clause in Contracts

BUYER DELAY. If Buyer is unable or unwilling to accept delivery of Products at time of completion, Lydall shall invoice Buyer for the full purchase price. Products held for Buyer shall be held at Buyer's sole risk and expense. Buyer’s wrongful rejection of Products or attempted cancellation shall entitle Lydall, in addition to any other damages, the price of raw materials, work in process and finished goods inventory which cannot be resold or if resold, a minimum of 15% of the price of the Products as liquidated damages. Lydall shall have the right to prove higher damages and the Buyer shall have the right to prove lower damages.
