Common use of Buyer Due Diligence Clause in Contracts

Buyer Due Diligence. Buyer has conducted its own independent review and analysis of the business, operations, assets, liabilities, results of operations, financial condition, technology and prospects of the Company and its affiliates and acknowledges that Buyer has been provided access to the personnel, properties, premises and records of the Company and its affiliates for such purpose. In entering into this Agreement, Buyer has relied solely upon its own investigation and analysis and the representations and warranties contained herein, and Buyer:

Buyer Due Diligence. Buyer acknowledges that it has conducted to its own satisfaction an independent review and analysis investigation of the business, operations, assets, liabilities, results of operations, liabilities and financial condition, technology and prospects condition of the Company Purchased Corporations and its affiliates and acknowledges that Buyer has been provided access the Purchased Assets and, in making the determination to proceed with the personnel, properties, premises and records of transactions contemplated by the Company and its affiliates for such purpose. In entering into this Agreement, Buyer has relied solely upon on the results of its own independent investigation and analysis and the representations and warranties contained herein, and Buyer:expressly set out in this Agreement.
