Buyer Representatives. Each of the following persons is hereby designated and appointed as Buyer Representatives:
Buyer Representatives. Buyer shall designate an individual or individuals who have authority to bind Buyer hereunder and Seller shall be entitled to rely upon such designation. Buyer shall also designate an individual or individuals who will be available at the Generating Facilities 365 days per year and 24 hours per day and shall be empowered by Buyer to make operational decisions hereunder on Buyer's behalf ("Buyer Operations Manager"). Seller shall also be entitled to rely on statements, actions and decisions of the Buyer Operations Manager as those of Buyer, unless Buyer specifies otherwise in writing with respect to certain events.

Buyer Representatives. Without limiting Section 7.3, the Seller agrees that, during the period between the date of this Agreement and the Closing Date, the Seller will permit the Buyer, at the Buyer's sole responsibility and expense, to maintain from time to time one or more Buyer Representatives at the Site for purposes of monitoring the use, operations and maintenance of the Purchased Assets, so long as such monitoring does not unreasonably interfere with the Seller's use, operation or maintenance of the Purchased Assets. Such Buyer Representatives shall have no authority to bind or make agreements on behalf of the Seller; to conduct discussions with or make representations to third parties on behalf of the Seller; or to issue instructions to or direct or exercise authority over the Seller or any of the Seller's officers, employees, advisors or agents. Such Buyer Representatives shall comply with all safety practices and procedures maintained by Seller at the Site. Subject to the foregoing, the Seller and its Affiliates (including, but not limited to, the Operator) shall reasonably cooperate with the Buyer and the Buyer Representatives in connection with such monitoring. The Buyer will indemnify, defend and hold harmless the Seller from and against any and all Indemnifiable Losses asserted against or suffered by the Seller relating to, resulting from or arising out of any acts of omissions of the Buyer Representatives at the Site.
