Buyer to Provide Buyer Common Stock. Promptly after the Effective Time, Buyer will make available to the Exchange Agent for exchange in accordance with this ARTICLE I through such reasonable procedures as Buyer may adopt (i) the shares of Buyer Common Stock issuable pursuant to Sections 1.2(a) and 1.2(b) in exchange for shares of Seller Common Stock outstanding immediately before the Effective Time.
