Common use of Buyer's Authority Clause in Contracts

Buyer's Authority. Buyer hereby represents and warrants to Seller that Buyer has the requisite power and authority to execute, deliver and perform this Agreement. This Agreement and the other documents executed by Buyer in accordance herewith constitute legal, valid and binding obligations of Buyer, enforceable against Buyer in accordance with their respective terms. All persons acting for and on behalf of Buyer have the necessary authority to execute documents and to otherwise consummate this transaction.

Buyer's Authority. Buyer hereby has full power to execute and deliver this Agreement and all related documents, and to carry out the transactions contemplated herein. This Agreement is valid, binding and enforceable against Buyer in accordance with its terms, except as such enforceability may be limited by creditors' rights, laws and applicable principles of equity. Each individual executing this Agreement on behalf of Buyer represents and warrants to Seller that Buyer has the requisite power he or she is duly authorized to do so and authority thereby to execute, deliver and perform this Agreement. This Agreement and the other documents executed by Buyer in accordance herewith constitute legal, valid and binding obligations of bind Buyer, enforceable against Buyer in accordance with their respective terms. All persons acting for and on behalf of Buyer have the necessary authority to execute documents and to otherwise consummate this transaction.

Buyer's Authority. This Agreement and to consummate the other documents executed by Buyer in accordance herewith constitute legal, valid transaction contemplated hereby and this Agreement is a binding obligations of Buyer, enforceable against Buyer in accordance with their respective terms. All persons acting for and on behalf obligation of Buyer have the necessary authority subject to execute documents bankruptcy and to otherwise consummate this transactionother similar laws affecting creditors.

Buyer's Authority. As a material inducement to cause Seller to enter into this Agreement, Buyer hereby represents and warrants that this Agreement and all agreements, instruments and documents to Seller be executed by Buyer are duly authorized, executed and delivered by the Buyer; that Buyer is duly authorized and qualified to do all things required of it under this Agreement; Buyer has the requisite power capacity and authority to execute, deliver consummate the transactions herein provided and perform this Agreement. This Agreement and nothing prohibits or restricts the other documents executed by Buyer in accordance herewith constitute legal, valid and binding obligations of Buyer, enforceable against Buyer in accordance with their respective terms. All persons acting for and on behalf right or ability of Buyer have to close the necessary authority to execute documents transactions contemplated hereunder and to otherwise consummate this transactioncarry out the terms hereof.
