Buyer’s Closing Documents. At Closing, Buyer shall deliver, or cause to be delivered, to Seller, the following in form and substance reasonably acceptable to Seller: (i) Cash on account of the Purchase Price (by wire transfer or other immediately available United States funds) as required by Section 3 above; (ii) An Assignment and Assumption of the Leases executed by Buyer and in the form of Exhibit B attached hereto, and relating to the Leases in effect at Closing; (iii) An assumption by Buyer of the warranties and contracts that are being assigned to Buyer; (iv) A Closing and Proration Statement conforming to the proration and other relevant provisions of this Agreement; and (v) Such other documents and instruments as reasonably may be required by Seller and the Title Company and which may be necessary to consummate this transaction and otherwise to effect the agreements of the parties hereto.
