Common use of Buyer’s Compliance Clause in Contracts

Buyer’s Compliance. Buyer shall have performed, satisfied and complied with all covenants, agreements and conditions required by this Agreement to be performed, satisfied or complied with by Buyer.

Each of the Buyer and the Parent shall have performed, satisfied performed and complied with all covenants, agreements of the terms and conditions required by in this Agreement on its part to be performed, satisfied performed or complied with by Buyerat or before the Closing Time and shall have executed and delivered or caused to have been executed and delivered to the Sellers at the Closing Time all the documents contemplated in Section 3.3 or elsewhere in this Agreement.

Buyer shall have performed, satisfied performed and complied in all material respects with all covenants, agreements of the terms and conditions required by in this Agreement on its part to be performed, satisfied performed or complied with by Buyerat or before the Closing and shall have executed and delivered or caused to have been executed and delivered to Seller at the Closing all the documents contemplated in Section 5.3 or elsewhere in this Agreement.

Buyer’s Compliance. The Buyer shall have performed, satisfied performed and complied in all material respects with all covenants, agreements of the terms and conditions required by in this Agreement on its part to be performed, satisfied performed or complied with by Buyerat or before the Closing Time and shall have executed and delivered or caused to have been executed and delivered to the Seller at the Closing Time all the documents contemplated in (i) Section 3.3 or elsewhere in this Agreement, and (ii) an officer’s certificate to the foregoing effect.
