BUYER’S CONDITIONS PRECEDENT TO CLOSING. The obligations of Buyer to consummate the transactions described in under this Agreement are subject to the satisfaction, before the Effective Time, fulfillment of each of the following conditions precedent, any each of which may be waived in writing at the discretion of Buyer.
