BUYER’S CONDITIONS PRECEDENT TO CLOSING. The obligations of Buyer to consummate the transactions described in under this Agreement are subject to the satisfaction, before the Effective Time, fulfillment of each of the following conditions precedent, any each of which may be waived in writing at the discretion of Buyer. In the event of nonfulfillment of any of the following conditions precedent, Buyer may either waive fulfillment in writing, postpone the Closing until the condition is satisfied, elect to seek specific performance by BuyerIssuer, or cancel this Agreement and seek appropriate damages.
