Common use of Buyer's Delivery Obligations Clause in Contracts

Buyer's Delivery Obligations. At the Closing, Buyer will deliver (or cause to be delivered) to Seller the following: (a) the Purchase Price required to be paid at the Closing, as adjusted in accordance with this Agreement; (b) the Bills of Sale executed by Buyer; (c) a certificate, dated the Closing Date, signed by an authorized Person of Buyer, stating that, to Buyer's knowledge, the conditions set forth in Sections 7.3.1 and 7.3.2 are satisfied; (d) An opinion of Sonnenschein, Nath and Xxxxxxxxx, counsel for Buyer, in a form reasonably acceptable to Seller; (e) such other documents as Seller may reasonably request in connection with the transactions contemplated by this Agreement, including the Retained Franchise Management Agreement and the Escrow Agreement, if required under this Agreement.
