Common use of Buyer's Delivery Obligations Clause in Contracts

Buyer's Delivery Obligations. At the Closing, Buyer will deliver (or cause to be delivered) to Seller the following: (a) The Purchase Price required to be paid at the Closing, as adjusted in accordance with this Agreement; (b) The Bill xx Sale executed by Buyer; (c) A certificate, dated the Closing Date, signed by an officer of Buyer, stating, solely in his or her capacity as such officer, that the conditions set forth in Sections 7.3.1 and 7.3.2 are satisfied; (d) An opinion of Irell & Manexxx XXX, counsel for Buyer, in substantially the form of EXHIBIT D; and (e) Such other documents as Seller may reasonably request in connection with the transactions contemplated by this Agreement.
