Common use of Buyer’s Obligation at Closing Clause in Contracts

Buyer’s Obligation at Closing. On the Closing Date, Buyer will deliver or cause to be delivered to Seller the following: A. The Purchase Price; and B. A Buyer Closing Certificate, executed by the Chief Executive Officer of Buyer, dated as of the Closing Date, in a form substantially identical to Exhibit J attached to this Agreement.

Buyer’s Obligation at Closing. On the Closing Date, Buyer will deliver or cause to be delivered to Seller Sellers the following: A. The part of the Purchase PricePrice as set forth in Section 3, which, pursuant to Sellers’ instructions, is then deliverable to Sellers; B. Certified resolutions of Buyer’s Board of Directors authorizing the execution and performance of this Agreement and all actions taken by Buyer in furtherance of this Agreement; and B. C. A Buyer Closing Certificatecertificate, executed by the Chief Executive Officer President of Buyer, dated as of the Closing Date, in a form substantially identical to Exhibit J attached to this Agreement.
