Common use of Buyer's Organization and Authority Clause in Contracts

Buyer's Organization and Authority. Buyer is a corporation duly organized, validly existing and in good standing under the laws of the State of Delaware and has all requisite corporate power and lawful authority to execute and deliver this Agreement and the other Transaction Agreements to which it is a party, to consummate the Transactions and to perform fully its obligations hereunder and thereunder.
