By Alliance Partner. Alliance Partner agrees to indemnify, hold harmless, and defend KNIME, its affiliates, and their respective directors, officers and agents, from and against any and all third party claims, suits and actions (each, a “Claim”), and all resulting liabilities, damages, losses, and costs awarded by a court or included as Party of a final settlement, as well as reasonable litigation-related expenses, including but not limited to, reasonable attorneys’ fees and costs (collectively, “Losses”) arising from or relating to: (a) the marketing, promotion or use by the Alliance Partner of products and services in any manner that violates this Agreement or any applicable law, rule or regulation or (b) arising from Alliance Partner’s acts or omissions.
