By Convercent. Convercent shall defend Customer and its employees, officers, directors, shareholders, partners, members, owners, agents, predecessors, and permitted successors and assigns from and against any third-party claim, demand, suit, action or proceeding (“Claim”) which alleges that the Services infringe, misappropriate or violate the intellectual property right of any third party, or violate any applicable law or regulation. Convercent will pay all costs of defense and all damages finally awarded or paid in settlement of any such Claim.
