Common use of By CribMaster Clause in Contracts

By CribMaster. CribMaster shall indemnify you from and against all claims, demands, actions, costs, expenses (including, but not limited to reasonable legal costs and disbursements), losses and damages arising out of or in connection with the infringement by the Product of a valid patent, copyright or trade secret right of a third party, provided you notify CribMaster promptly upon your receipt of any notice or claim in writing of any claim or threatened claim against you and thereafter co operate with CribMaster so that CribMaster will not be prejudiced in the defense, settlement or other handling of such claim or threatened claim.

CribMaster shall indemnify you from and Distributor against all claims, demands, actions, costs, expenses (including, but not limited to reasonable legal costs and disbursements), losses and damages arising out of or in connection with the infringement by the Product of a valid patent, copyright or trade secret right of a third party, provided you notify Distributor notifies CribMaster promptly upon your Distributor’s receipt of any notice or claim in writing of any claim or threatened claim against you Distributor and thereafter co operate co-operates with CribMaster so that CribMaster will not be prejudiced in the defense, settlement or other handling of such claim or threatened claim.
